Data privacy and security is a major issue in a significant number of information technology transactions. Our Information Technology Transaction team regularly assists clients in structuring contractual relationships with information technology providers to comply with applicable domestic and foreign data privacy laws. 

Our Information Technology Transaction team regularly counsels clients with regard to their on-line business presence and operations, and issues that arise when conducting business electronically and over the Internet. We have considerable experience drafting and negotiating a wide variety of e-commerce agreements and documents, including website hosting and development agreements, privacy policies, terms of use and DMCA notices. We also assist clients in policing the Internet and identifying and prosecuting domain name, trademark and copyright infringement matters.
Software Audits

A software audit can impact both your daily operations and your bottom line. Our team has extensive involvement in counseling clients on responding to software audit demands from the BSA, SIIA and technology vendors and negotiating settlement agreements with these entities. We also assist clients in drafting software audit response plans and policies.
Due Diligence

Mergers and acquisitions can involve significant information technology-related issues. Our Information Technology Transaction team is skilled in conducting due diligence investigations and analysis of these issues in connection with corporate acquisitions, divestures, mergers and other corporate transactions.
