Sometimes that involves navigating Michigan’s complex liquor laws and cannabis regulatory framework. Other times it means developing a set of user-friendly commercial contracts or structuring the sale of a company’s equity or assets. My clients and I collaborate closely, integrating business concerns and legal considerations to help their organizations thrive, grow and transform.

Emily Cantor assists companies of all sizes with a broad range of legal matters, including mergers and acquisitions, cannabis and liquor license transactions and compliance, contract development and review and corporate governance. Emily serves companies across a variety of industries, including manufacturing, retail, distribution and hospitality.

Commercial and Contracting

  • Advises both sellers and buyers regarding acquisition matters, and negotiates and drafts agreements and related documents necessary for all stages of the acquisition process.
  • Prepares and reviews a variety of commercial contracts, including supply, distribution, manufacturing, confidentiality and consulting agreements, for clients in the manufacturing, retail, automotive, medical supply, medical service, and other industries.
  • Drafted complete form contract library for numerous clients, including a medical research institute and a medical device supplier (sales, service, research, collaboration, license and intellectual property agreements).

  • Assists clients with purchase and sale of businesses holding cannabis and liquor licenses and permits.
  • Advises clients on liquor license and cannabis compliance matters.
  • Represents new and existing businesses in securing liquor licenses (including licenses purchased from third parties, licenses transferred under court order and newly-granted licenses).

Representative Mergers and Acquisitions

  • Represented Shepler’s Mackinac Island Ferry in the sale of a majority of its stock to The Hoffmann Family of Companies
  • Assisted in representation of Spartan Stores, Inc. in its merger with Nash-Finch Company.
  • Assisted in representation of Morbark, LLC in its merger with an affiliate of Stellex Capital Management.
  • Assisted in representation of ChoiceOne Financial Services, Inc. in its merger with County Bank Corp. and its acquisition of Community Shores Bank Corporation
  • Assisted in representation of Chemical Financial Corporation in its merger with Talmer Bancorp, Inc. and its acquisitions of Northwestern Bancorp, Monarch Community Bancorp, Inc. and Lake Michigan Financial Corporation.
  • Assisted in representation of Founders Financial Corporation in its merger with Old National Bancorp.
  • Assisted in representation of Mercantile Bank Corporation in its acquisition of Firstbank Corporation.
