For three decades, Loren Andrulis has assisted clients in transactions and strategic planning, primarily in the venture, corporate, securities and real estate arenas. He serves a wide range of Michigan-based and out-of-state clients, including several mining companies that he advises in transactional matters.

Securities and Venture Capital
- Represented securities underwriters and sales agents in more than 20 public and private securities offerings, aggregating more than $1 billion in interests sold, in software, drug development, dietary supplement, medical device, surgical center, financial services, real estate, bio-mass energy, resource and mining companies, craft beer and other industries.
- Represented issuers and investors in offerings, strategic investments and alliances in green energy (bio-mass, cellulosic ethanol, digesters and sequestration opportunities), technology, aviation, medical device, real estate, oil and gas and health sectors.
- Represents foundations, pension plans, other institutional investors and high net worth individuals in their consideration and review of hedge fund and other private investments.
- Represents institutional investors in secondary sales of fund investments.
- Represents clients in connection with minerals, mining and oil and gas funds and offerings.
- Represents start-up companies in capital raising and follow-up on Series A, B, C and later stage offerings, including common, preferred, debt and convertible instruments.
- Represents private equity, angel and seed capital funds in fund formation matters, capital raising and investing in portfolio companies.
Mining
- Assisted regional, national and international clients in acquisition and/or divestiture of mining and quarry properties within and outside of Michigan.
- Represented mining clients in sand and gravel, limestone, potash, salt and gold mining industries.
- Appears before zoning boards and committees to negotiate terms, special uses or other permits necessary for mining and related activities.
- Negotiates with property owners for acquisition, lease and/or royalty agreements.
- Assisted aggregates mining company in successful acquisition of large amount of real property from multiple owners.
- Negotiated stock and asset purchase agreements that cleared the way for clients in the mining and construction industries to acquire new companies.
- Negotiated supply and other agreements for clients in the mining and construction industries.
- Assisted in structuring U.S. and Canadian resource acquisitions and consolidations, including timber and mining interests.
Family Office
- Assisted family offices in organizational and legal structuring matters.
- Assisted family offices in risk avoidance planning and structuring asset holdings to manage exposure.
- Represented family offices as investors in businesses, large investment funds, and venture investments.
Real Estate
- Represented developers in the acquisition, development, sale and leasing of projects, both large and small, throughout West Michigan.
- Represented general partners and promoters in formation and operation of more than 10 real estate investment funds.
- Represented property owners in obtaining zoning approvals and negotiating agreements with townships and municipalities in the Midwest.
- Represented owners in negotiating financing arrangements with commercial lenders, insurance companies, private real estate funds and REITs.
