Employee Stock Ownership Plans (ESOPs)

With more than 50 years of focused ESOP experience around the country, Warner is a recognized leader in employee ownership transitions.

From Beginning to End and Everything Between

Employee Stock Ownership Plans (ESOPs) are a powerful and versatile tool for business succession, employee engagement, and continuity of strong independent businesses — but few law firms possess the depth of experience to implement them effectively. Warner’s ESOP team guides clients through every stage of the ESOP lifecycle, from initial education and plan structuring to implementation and long-term support. Whether your goal is to facilitate shareholder liquidity, plan for succession, minimize the tax impact of a sale, or exit the ESOP ownership model, we help you navigate effectively and easily through the legal and strategic complexities.

Why Legal Expertise Matters

Choosing the right law firm for your company’s ESOP is critical due to the intricacy and regulatory demands of these structures. ESOPs offer compelling tax advantages and succession planning benefits that require thoughtful planning and ongoing compliance with both ERISA and the Internal Revenue Code. As an experienced and knowledgeable legal partner, we help clients work within these requirements, avoid costly disputes or regulatory scrutiny and ensure the plan aligns with your long-term business goals. Warner brings valuable experience in structuring and implementing ESOPs that work for corporations, shareholders and employees alike.

ESOP Planning for What’s Next

At Warner, our attorneys focus on creating ESOPs that not only simplify the transition process but are also designed to serve your company and employees well into the future. With growing interest in employee ownership, our dedicated ESOP team helps you build a structure that’s compliant, sustainable and tailored to your long-term vision. We ensure your ESOP meets today’s needs while remaining flexible and effective for the road ahead.

Succession Planning

With many business owners facing a transition in the coming years and an increasing desire to keep companies locally owned and engaged in their communities, ESOPs are increasingly being used as a succession tool. However, businesses must ensure:

  • A strong management team is in place to lead post-transition.
  • Cultural alignment and communication around employee ownership to retain engagement.
  • An ESOP transaction structure that ultimately succeeds for the selling shareholders, the company, and the ESOP.

Warner partners with business owners to structure ESOPs that support smooth transitions, strong leadership continuity and employee alignment — ensuring your legacy remains in capable hands.

Financing

An ESOP transition often includes lending from a financial institution. Warner’s ESOP team is experienced with negotiating lending arrangements on behalf of both companies and the financial institutions. ESOP lending must ensure the definitive agreements recognize the unique financial impact of a leveraged ESOP transaction while also ensuring the lending parties properly address all collateral and security matters.

Regulatory Scrutiny

Regulators like the Department of Labor and IRS continue to scrutinize ESOP transactions, especially regarding:

  • Valuation practices: Ensuring fair market value in stock purchases.
  • Fiduciary responsibilities: Particularly for internal trustees and board members.
  • Transaction structure and financing: Especially when seller financing or other related party transactions are involved.

Companies should expect more questions and demand for greater documentation and process rigor in both formation and administration phases. Warner’s ESOP attorneys stay ahead of regulatory trends and are well-equipped to guide clients through heightened scrutiny, helping ensure your plan structure, valuations and fiduciary processes are defensible and compliant.

Ongoing Plan Maintenance + Employee Engagement

Long after an ESOP is established and acquires stock, companies must focus on:

  • Communicating plan benefits clearly to employees.
  • Managing participant expectations around valuation, vesting, and payouts.
  • Ensuring compliance with the Internal Revenue Code and ERISA.

Trustee Services

ESOP trustees require separate legal representation when they acquire a company on behalf of an ESOP to:

  • Perform legal due diligence on the company being acquired.
  • Review and negotiate the transaction legal documents.
  • Assist the trustee in complying with its fiduciary duties.

ESOP trustees operate as a team including the trustee and their legal and financial advisors. As our tagline says, we provide a better partnership that delivers for our ESOP trustee clients.
