Warner Represented RSF Social Investment Fund in the Offering of $200 Million of Investment Notes for the 2024-2025 Offering Period

RSF Social Investment Fund is an innovative social finance organization that lends capital to enterprises who provide mission-aligned services and resources to generate positive impact. RSF Social Investment Fund envisions a world where all people have the power to use their money to regenerate people, communities and the planet. It will use capital raised in the Investment Note offering primarily to make loans to mission-aligned enterprises.

Warner Norcross + Judd LLP represented RSF Social Investment Fund in its offering of $200 million in aggregate principal amount of outstanding Investment Notes a multi-state securities offering for the 2024-2025 offering period. This offering was made pursuant to federal exemptions from securities registration available for charitable organizations and pursuant to registration or exemption of the securities in each of the applicable states. The 2024-2025 offering of Social Investment Notes commenced on June 23, 2024 and terminated on June 22, 2025.
