Warner Represented Omaha Paper Co., Inc. in Sale to Lindenmeyr Munroe

Warner Norcross + Judd LLP represented Omaha Paper Co., Inc., recently rebranded as OPC Direct, and its affiliate OPC Logistics, LLC, in the sale of its business to Lindenmeyr Munroe, a division of Central National Gottesman Inc. (CNG).

Founded in 1961, Omaha Paper is a second-generation, family-owned Nebraska distributor of paper, packaging materials and equipment, wide-format products and janitorial and sanitation (JanSan) supplies. The company has served regional customers for more than six decades.

At the time of the transaction, Omaha Paper was operated by brothers Robert and Kevin Powell. The company brought longstanding customer relationships, supplier partnerships, distribution operations and a knowledgeable team to the transaction.

The acquisition expands Lindenmeyr Munroe’s distribution presence in Nebraska and the broader Midwest. It is intended to integrate Omaha Paper’s employees, customer relationships, supplier partnerships and operations into Lindenmeyr Munroe’s North American network, while providing OPC Direct customers with access to a broader product portfolio and technology resources.

Warner served as legal counsel to Omaha Paper. The Warner transaction team was led by Michael J. Jones, and included Cody A. Mott, Johnny M. Pinjuv, Matthew T. Koenders, Brandon J. Hayes, Paul H. Beach, and Valerie J. McNamara.

Warner’s Mergers and Acquisitions (M&A) Practice Group

As part of one of the largest and most successful law firms in Michigan, Warner’s M&A Practice Group draws upon more than 90 years of experience to successfully and efficiently handle a wide range of M&A transactions for both private and publicly traded businesses, including mergers, acquisitions, divestitures, joint ventures and strategic business combinations of all types.
