Warner Norcross + Judd LLP represented Calvert Impact Capital, Inc. (“Calvert Impact Capital”) in its offering of up to $750 million in aggregate principal outstanding of Community Investment Notes for the 2024-2025 offering period.
Calvert Impact Capital is a 501(c)(3) nonprofit corporation based in Bethesda, Maryland. Calvert Impact Capital’s mission is to connect capital to the solutions communities need. Calvert Impact Capital raises capital from individual and institutional investors to finance intermediaries and funds that invest in communities left out of or overlooked by traditional capital markets.
Calvert Impact Capital deploys proceeds from the Community Investment Note® primarily to make mission-aligned loans to or investments in domestic and international development organizations, projects, funds and other social enterprises who work in under-resourced communities to address climate change and improve access to quality affordable housing, healthcare, education, income and wealth building opportunities, and other critical community services.
For the 2024-2025 offering period, Calvert Impact Capital offered direct Community Investment Notes for purchase directly from Calvert Impact Capital as issuer, as well as brokerage Community Investment Notes for purchase through lead selling agent InspereX LLC, a registered broker-dealer based in Delray Beach, Florida.
