Warner Norcross + Judd LLP represented a charitable foundation that had been offering and managing revocable trust products for individual and institutional clients nationally without recognizing the securities laws implications of these investment products. Warner restructured the program into two separate and distinct securities offerings. In one offering, the foundation now conducts a $60 million offering of notes to individual and institutional investors pursuant to federal exemption under Section 3(a)(4) of the Securities Act of 1933 and pursuant to registration or exemption in each applicable state. In the second offering, the foundation now offers and manages an investment fund of approximately $20 million available exclusively to charitable institutional investors pursuant to federal exemption under Section 3(c)(10)(A)(ii) of the Investment Company Act of 1940 and, at the state level, pursuant to either federal preemption under the Philanthropy Protection Act of 1995 or registration or exemption depending on the state.
