Warner Represented in Combination of Two RIA firms

Warner represented FormulaFolios in its combination with Brookstone Capital Management to create a $6.5 billion+ RIA.  This transaction involved guiding the client in connection with a rollover of equity, including the negotiation of a complex operating agreement for the combined entity. Other specialty aspects involved included negotiation of an earnout and advice regarding the regulatory aspects of the transaction.
