For decades, buyers and sellers of goods in Michigan have conducted business under “blanket orders” with a set of terms and conditions followed by releases serving as their contract, and relying on their course of performance to further define their relationships. Recent supply chain disruptions pushed suppliers to review these “contracts,” leading to significant litigation between buyers and sellers trying to escape – or enforce – their supply relationships. Warner represented AirBoss in such a dispute and took the case to the Michigan Supreme Court. The Michigan Supreme Court clarified that the Uniform Commercial Code requires more than just a “blanket order,” and that parties to a supply relationship must put their intended quantities in writing. For the first time, the Michigan Supreme Court also recognized a release-by-release supply relationship, where a “blanket order” may provide some commercial details, but the parties are bound only to releases issued and accepted. Although the AirBoss case involved automotive parts, its impact reaches suppliers in every industry.
