Identifying and assessing the biggest obstacles in a deal and not shying away from addressing them produces the best and most innovative solutions. I believe transparency and candor helps facilitate deals with both sides – understanding there’s a give and take in every transaction. My approach is very tactical and strategic, but for an analytical guy, I feel rather adept at reading a room. Clients are comfortable with handing over large, complex issues because I’m thoughtful and tenacious in reaching their goals, no matter how many challenges surface along the way.

Nick Binder’s practice focuses on domestic and international corporate law, mergers and acquisitions (M&A), restructuring and insolvency matters and commercial transactions. Particularly well-known for his ability to handle complex and nuanced legal issues, Nick brings years of real-world finance and business experience to every interaction.

  • Counsels both businesses through all phases of the merger and acquisition process, including strategy development, due diligence, drafting and transaction management.
  • Negotiates complex commercial agreements including supply, manufacturing, distribution and service agreements, confidentiality and non-disclosure agreements, terms and conditions of purchase and sale, software and other license agreements, non-competition agreements, etc.
  • Provides strategic guidance and services relating to corporate governance, compliance and general corporate matters, including entity formation, maintenance and management as well as shareholder/member agreements.
  • Prior to joining Warner, Nick worked in corporate restructuring at a multinational law
