In-house Counsel

  • Primary responsibility for negotiating, documenting and effectuating two strategic acquisitions.
  • Regularly serve as the conduit between management and business unit leaders and representatives in matters.
  • Responsible for coordinating response over entire enterprise, including ensuring that appropriate representatives of all functions are appropriately represented in any negotiation and determination.
  • Coordinated various commercial negotiations with customers and suppliers, including negotiating terms, documenting agreements and facilitating management’s approvals.
  • Oversee, negotiate and recommend plan for various supplier and customer disputes, including adequate assurance letters, stop ship and/or initiating litigation if necessary.
  • Negotiated settlements with various regulatory agencies, including DOJ, DNR, EPA and OSHA.
  • Primary responsibility for various labor and employment matters, including EEOC claims, termination issues and ADA/FMLA concerns.
  • Member of integrity committee, with primary responsibility for investigating hotline and ethics complaints and making determinations and recommendations to management for resolution.
  • Negotiated the sale of several parcels of real estate; negotiated multiple leases of real estate globally (including Luxembourg and China).
  • Responsible for coordinating corporate governance documents and filings, including D&O questionnaires, proxy statement, Form 10-K, Forms 10-Q, Forms 8-K, NYSE filings, resolutions and minutes, and summary items for board of director presentations.
  • Attend and provide guidance in monthly operating committee meetings for each business unit, and for monthly sales meeting across business units.
  • Primary responsibility for overseeing and managing litigation portfolio, including pending criminal matter.
  • Primary responsibility for managing IP portfolio.
  • Provide training for various groups, including UCC, terms and conditions, conflict minerals and conflicts of interest.
