  • Counsel in numerous acquisitions and sales of small to midsize businesses ranging up to $25 million
  • Counsel in complex commercial real estate transactions, including purchases and sales of properties, commercial leases, construction projects and 1031 exchanges
  • Represented banks and borrowers in numerous financings and refinancings in amounts up to $50 million
  • Substantial experience in negotiation of manufacturing and supply agreements, distributorship agreements and sales representative agreements
  • Counsel for community college on complex real estate projects and commercial contracts
  • Substantial experience in negotiation of construction contracts, including familiarity with AIA, AGC and EJCDC forms
  • General counsel for holding company and affiliate businesses with sales in excess of $300 million, including structuring of subsidiaries and divisions, financing arrangements, sales and acquisitions of subsidiaries and divisions, joint ventures and day-to-day matters
  • Representation of substantial family-owned business over several years and in the negotiation and consummation of its sale to a multinational company
  • Handled several complex acquisitions of securities brokerages for national insurance company
  • General counsel for regional old line family-owned company, including sales of product lines, financing arrangements, relocation of facilities and other matters
  • Handled several financing transactions for regional bank in connection with financings in excess of $5 million
  • Negotiated several complex and long-term commercial leases with national leasing companies
