Biography

Jim Romzek guides a variety of businesses through various corporate and real estate matters, with a particular focus on commercial transactions of all types, business formations, mergers and acquisitions and general business matters. Jim strives to provide strategic counseling that makes him a true extension of his clients’ businesses. He represents a wide range of clients in several different industries, including automotive suppliers, various manufacturing businesses, distributors and dealers, service providers and professional service firms. Jim provides sound legal advice based on years of real world experience and proficiency in the law. Jim is well-versed in all forms of contract law, including international contract law and approaches each client relationship with the objective of being a value-added business counselor for each of his clients.

  • Has handled more than a hundred merger and acquisition transactions for privately held companies in various industries, including automotive, medical, aerospace, insurance, specialty chemicals, general manufacturing and distribution
  • Provides general corporate services to a wide range of middle-market companies, Tier I and Tier II automotive suppliers and other closely held businesses. Services included formation, contract drafting and review, advising clients on terms and conditions issues with customers and vendors, employment and non-compete agreements, buy-sell agreements, stock options and a variety of other corporate matters
  • Serves as outside General Counsel to household name clients in the automotive and sporting goods industries
  • Provides strategic guidance and general oversight for clients involved in business litigation matters
  • Represents distributors and resellers in domestic and international matters, including licensing, franchising and antitrust issues
  • Has represented numerous buyers and sellers in M&A activity in the United States, Canada and China
  • Represented subsidiaries of U.K. companies seeking to establish operations in the United States
  • Worked extensively with Tier I and Tier II automotive suppliers setting up foreign operations
