Helping individuals and businesses across the country prepare for today and tomorrow, Bill Lentine guides clients in a broad spectrum of business matters, with a focus on the often-overlapping arenas of tax law and trust and estate work. He values his role as a business advisor who marshals the necessary resources to optimally address any problems or concerns clients may have. Bill also enjoys acting as an outside general counsel for companies in need of his multifaceted expertise.

  • Advises private equity and strategic buyers on acquisitions including structures.
  • Counsels many closely held businesses on the buy and sell side of acquisitions including structuring the deal to handling due diligence, closing and post-closing matters.
  • Assists businesses with tax issues in a variety of transactions, including choice of entity issues, issuance of incentive ownership to employees, capital formation and cross-border transactions.
  • Tax controversy and audit consultations for individuals and businesses.
  • Provides counseling for software as a service contracts (SaaS).
  • Lead attorney in a shareholder redemption transaction leading to a buyout of fellow shareholders for an industrial services company.

  • Experience in Tax Incentive real estate transactions including for New Markets, Historic Tax Credit.
  • Experience in advising on tax benefits for Opportunity Zone Funds and investments.
  • Structured pooled investment funds in cannabis related ventures and other industries.
  • Substantial partnership tax experience through LLCs or general and limited partnerships for acquisitions, real estate ventures and industrial joint ventures.
