Warner represented an ESOP trustee in the sale of substantially all the assets of a partially ESOP-owned cleaning-products distributor to a strategic national buyer. Warner evaluated the consideration paid to non-ESOP shareholders, including future employment and compensation opportunities, for potential disguised sale proceeds. Warner also helped the trustee navigate the pass-through voting process and served as its agent in collecting and tabulating participant votes.
