Warner Norcross Representing Birmingham Bloomfield Bancshares, Inc. (Bank of Birmingham) in Merger with Arbor Bancorp, Inc. (Bank of Ann Arbor)


Warner Norcross & Judd LLP is representing Birmingham Bloomfield Bancshares, Inc. (“Birmingham”), the holding company for Bank of Birmingham, in its merger with Arbor Bancorp, Inc., holding company for Bank of Ann Arbor. The transaction was announced on July 20, 2016.

Transaction consideration to Birmingham shareholders will consist of $16.50 per share in cash for each share of Birmingham common stock outstanding, subject to adjustment in certain limited circumstances, resulting in total transaction value of approximately $33.3 million, including payoff of outstanding warrants and stock options.

The transaction is expected to be completed by year end, subject to the satisfaction of customary closing conditions, including regulatory approvals and approval of shareholders of Birmingham.

The Warner Norcross transaction team is led by Charlie Goode. The team also included Gordon Lewis, Rodney Martin, Norbert Kugele, Jason Byrne, Jonathan Kok, Rob Davies, Sean Cook, Justin Stemple, Corinne Sprague, Emily Cantor and Kelly Hollingsworth.
