Warner Norcross Advises CCL Industries in $500 Million International Transaction

CCL Industries Inc. (TSX) has completed a $500 million acquisition of Avery Dennison’s Office & Consumer Products and Designed & Engineered Solutions businesses.  A longtime Warner Norcross client, Toronto-based CCL Industries is a world leader in specialty labeling and packaging solutions for global corporations, small businesses and consumers.  Its stock is publicly traded on the Toronto Stock Exchange.
Warner Norcross served as lead counsel in the deal, which involved acquisitions of stock or assets in 23 different countries.  In addition to assisting with the negotiation of the purchase agreement and acquisition of the U.S. business assets, Warner Norcross engaged and coordinated the work of counsel in each of the foreign countries. 
The multi-disciplinary corporate deal team involving 25 attorneys and legal assistants was led by Steve Kretschman, Mike Jones and Steve Waterbury.  Bob Nolan handled the Hart-Scott-Rodino anti-trust filing.  Kelly Clum-Matthysse and Marianne Hunderman dealt with real estate matters.  Scott Hubbard led the work on environmental matters while Bob Chovanec handled union negotiations. 
Chuck Burpee and Jim Scott handled the transfer of intellectual property with support from Ken Coleman. Mark Wassink and Bruce Young were involved in the review of loan documents and related financing issues.
