CCL Industries Inc. Acquires Checkpoint Systems Inc. in an Approximate $500 Million Transaction

Warner Norcross & Judd LLP represented CCL Industries Inc., a world leader in specialty label and packaging solutions, in its acquisition of Checkpoint Systems Inc., an anti-theft tag manufacturer based in the U.S., for approximately $532 million, including estimated net cash of $43.4 million.

Headquartered in Toronto, Canada, and with 119 manufacturing facilities throughout North America, Latin America, Europe, Asia, Australia and Africa, CCL is expanding its footprint even further by purchasing the New Jersey-based Checkpoint Systems. The transaction represents a compelling and unique opportunity for CCL to enhance breadth and scale, while creating an opportunity to realize meaningful synergies and earnings accretion.

Warner Norcross & Judd was legal counsel to CCL for the acquisition, and the transaction team was led by Michael Jones. The deal team included Charlie Goode, Brian Masternak, Robert Nolan, Justin Stemple, Mark Wassink and Corinne Sprague.
