Trust & Estate Planning

  • Counsels individuals, small business owners, physicians and others regarding estate and tax planning
  • Drafts wills, revocable living trusts and power of attorney documents
  • Counsels high net worth clients regarding strategies to mitigate or eliminate federal estate, gift and generation-skipping transfer taxes through the use of gifting plans, irrevocable gift trusts, irrevocable life insurance trusts, charitable remainder trusts, grantor retained annuity trusts, family limited liability companies and family limited partnerships
  • Advises clients on business succession planning through the use of gifting plans, recapitalization agreements, buy-sell agreements, employment agreements and deferred compensation agreements

Trust & Estate Administration, Probate Litigation

  • Commences decedent's estates in probate court, and counsels fiduciaries in the administration of probate assets
  • Prepares federal estate tax returns and trust and estate income tax returns
  • Drafts petitions and represents fiduciaries and beneficiaries in trials and proceedings involving trust and will contests, trust modification and/or termination, termination of life estates due to waste, enforcement of trust provisions and removal of fiduciaries

Banking Law

  • Represents financial institutions of all sizes in regard to complex commercial loan workouts and debt restructuring transactions
  • Performs comprehensive loan portfolio reviews and works with relationship managers, receivers and turnaround firms to develop strategies for negotiating with distressed borrowers
  • Negotiates and drafts loan extension and forbearance agreements, loan renewals, pay down and deed-in-lieu agreements
  • Prepares initial pleadings in connection with collecting loan balances and enforcing interests in collateral, including verified complaints and motions for temporary restraining orders, preliminary injunctions and the appointment of receivers on an ex parte basis
  • Drafts and argues motions for possession, the compulsion of discovery and summary disposition

Corporate and Business Law

  • Forms and represents business entities, including profit and nonprofit corporations, limited liability companies and joint ventures
  • Drafts buy-sell agreements, shareholder agreements, employment agreements, deferred compensation agreements, non-compete agreements and confidentiality agreements
  • Drafts and negotiates purchase agreements, and related documents pertaining to the acquisition or disposition of real property, personal property, corporations and limited liability companies
